HATOD Merchant Terms of Service
1. Acceptance of Terms
By registering for, accessing, or using the HATOD Merchant app or related merchant tools, you acknowledge that you have read, understood, and agreed to be bound by these Merchant Terms of Service and applicable laws and regulations.
If you do not agree to these Terms, you must not use the HATOD Merchant app or merchant services.
2. Merchant Relationship and Eligibility
You represent and warrant that:
- You are authorized to act on behalf of the business registering for merchant access.
- Your business information, permits, licenses, and tax details are accurate and kept current.
- Your business, products, and services comply with applicable laws, health rules, and platform policies.
3. Scope of Service
HATOD provides a technology platform that allows approved merchants to manage store information, publish menu items or product listings, receive customer orders, track operational activity, and coordinate order fulfillment.
HATOD may modify, suspend, or improve merchant platform features from time to time without guaranteeing uninterrupted access.
4. Merchant Account Responsibilities
- Maintain accurate store profile details, contact information, operating hours, and service availability.
- Safeguard merchant login credentials and restrict access to authorized staff only.
- Promptly notify HATOD of suspected unauthorized access, fraud, or account misuse.
- Remain responsible for all activity performed using the merchant account.
5. Listings, Pricing, and Order Management
Merchants are responsible for the accuracy of product descriptions, pricing, stock availability, promotions, preparation times, and special handling instructions shown to customers.
Once an order is accepted or fulfilled through the platform, the merchant is responsible for preparing the order accurately and in compliance with applicable merchant policies and local regulations.
Any commercial fees, settlement schedules, commissions, or other business terms may also be governed by separate onboarding, commercial, or partner agreements.
6. Merchant Conduct Standards
Merchants agree not to:
- Offer prohibited, unsafe, counterfeit, illegal, or misrepresented goods or services.
- Manipulate pricing, availability, order flow, reviews, or promotions in a deceptive or abusive manner.
- Discriminate against, harass, threaten, or abuse customers, riders, HATOD staff, or other platform users.
- Interfere with platform security, reverse-engineer systems, or misuse internal tools or data.
7. Compliance and Merchant Operations
Merchants are solely responsible for obtaining and maintaining all permits, licenses, product approvals, sanitary clearances, and business authorizations needed to operate lawfully.
HATOD may request supporting documentation, conduct operational reviews, or suspend access where compliance, quality, safety, or fraud concerns arise.
8. Customer and Operational Data
Merchants may receive limited customer and order information strictly for order preparation, customer support, fulfillment coordination, dispute handling, and lawful recordkeeping.
Merchants must not use customer data for unrelated marketing, resale, unauthorized disclosure, or any purpose outside legitimate order servicing and legal compliance.
9. Suspension, Restriction, and Termination
HATOD may suspend, restrict, reject, or terminate merchant access where necessary for fraud prevention, safety, compliance, service quality, legal obligations, or breach of these Terms.
Merchant access may also be paused during onboarding review, operational investigations, or unresolved commercial or compliance issues.
10. Intellectual Property and Branding
HATOD retains ownership of its platform, software, marks, and related content. Merchants retain rights to their own business names, logos, and content to the extent they lawfully own them.
By submitting store logos, menu descriptions, photos, and listing content, merchants grant HATOD a non-exclusive right to display and use that material within the platform and related operational or promotional contexts.
11. Disclaimer and Limitation of Liability
The merchant platform is provided on an "as available" and "as is" basis to the extent permitted by law. HATOD does not guarantee uninterrupted access, continuous order volume, merchant profitability, or error-free platform operation.
To the maximum extent permitted by law, HATOD is not liable for indirect, incidental, special, or consequential damages arising from merchant use of the platform.
12. Indemnity
Merchants agree to indemnify and hold harmless HATOD, its affiliates, and personnel from claims, liabilities, damages, losses, and costs arising from merchant breach of these Terms, unlawful operations, unsafe goods, or misuse of the platform.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of the Philippines. Parties shall first attempt good faith resolution. If unresolved, disputes may be brought before courts of competent jurisdiction in the Philippines unless otherwise required by applicable law.
14. Changes to These Terms
HATOD may update these Terms periodically to reflect legal, product, operational, or commercial changes. Updated versions will display a revised version and effective date. Continued use after an update constitutes acceptance of the revised Terms.
